WJP Solutions Pty Ltd - Standard Conditions of Purchase
Definitions
WJPS means WJP Solutions Pty Ltd (ABN 21 971 897 886)
Supplier means the provider of Products or Services
Order means the Purchase Order and any accompanying documentation, schedules etc detailing the extent of supply and services to be provided by the Supplier
Delivery
All deliveries must be accompanied with a Delivery Docket, which must be signed by a WJPS representative at time of delivery.
No responsibility is taken by WJPS for any deliveries left on site without a signed delivery docket.
Where the supplier is unable to deliver Product or Services within the time requested on the Order, the supplier must advise WJPS immediately upon receipt of the Order.
WJPS reserves the right to cancel the Order at any time prior to delivery.
Where incorrect Product is supplied it remains the Supplier's responsibility to arrange for collection of the incorrect Product, including all costs associated therewith.
Where deliveries require the arrangement of any craneage etc for unloading, or attendance of WJPS employees specifically for the delivery, and delivery is not made at the agreed time, any additional costs incurred due to the delay will be deducted from payments owed to the Supplier
Warranties
All supplied Products or Services are to be warranted to be of merchantable quality, free from faulty materials, workmanship and defects, for a minimum of 12 months unless specified otherwise on the Order
Any equipment and/or system that fails to meet specified performance criteria shall be rectified or replaced until such time as the specified performance criteria has been met.
Warranties to commence from hand-over of the project or works into which the Products or Services are incorporated.
Any request for service relating to the warranty shall be attended to by the Supplier within two working days.
Where the Product needs to be removed from site for repair, all costs associated therewith shall be borne by the Supplier.
Any warranty claim rejected by the Supplier on the basis of operator failure, operating conditions contrary to manufacturer's instructions, neglect etc shall only be accepted when accompanied by a fully detailed written report detailing the nature of the failure and the basis upon which the claim is rejected.
If the Supplier fails to attend to a warranty claim within a reasonable period, WJPS reserves the right to remedy the defect by whatever means are necessary, including product substitution, and all costs incurred will be deducted from any payments whatsover owed to the Supplier, or invoiced to the account of the Supplier if no monies currently owed.
Documentation
Where applicable, operating and maintenance Instructions shall be provided for all equipment and/or systems, including manufacturers warranty certificates.
All documentation shall be in the form of original copies, high quality A4 sized photocopies, or in electronic files, with format and media as requested by WJPS.
Where factory testing/commissioning is undertaken, records shall be supplied to WJPS.
Failure to provide requested documentation within a timely fashion may result in payments being withheld until the documentation has been received.
Applicable Law and Jurisdiction
All rights and obligations of WJPS and the Supplier are governed by the laws applicable in the State of Victoria, Australia, and each of them submit to the jurisdiction of the Courts of that State
Entire Agreement
The Order constitutes the entire agreement between the parties for the supply of Products and/or Services and supersedes any terms and conditions contained in any offer or quotation from the Supplier. |
